1. Parties
This Mutual Non-Disclosure Agreement ("Agreement") is entered into as of [Effective Date] by and between: Party A: [Party A Name], with its principal place of business at [Party A Address] Party B: [Party B Name], with its principal place of business at [Party B Address] (each a "Party" and collectively the "Parties").
2. Recitals
WHEREAS, the Parties wish to explore a potential business relationship (the "Purpose") and in connection therewith, each Party may disclose to the other certain confidential and proprietary information; WHEREAS, the Parties desire to define the conditions under which such information will be disclosed and to protect the confidentiality thereof.
3. Definition of Confidential Information
"Confidential Information" means any and all non-public information disclosed by either Party to the other, whether orally, in writing, or by any other means, including but not limited to: [Confidential Information Definition], and any other information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving Party; (b) was already known to the receiving Party without restriction prior to disclosure; (c) is independently developed by the receiving Party without use of or reference to the disclosing Party's Confidential Information; or (d) is rightfully obtained from a third party without restriction on disclosure.
4. Obligations of the Parties
Each Party agrees to: (a) Hold all Confidential Information in strict confidence and not disclose it to any third party without the prior written consent of the disclosing Party; (b) Use the Confidential Information solely for the Purpose described in this Agreement; (c) Limit access to Confidential Information to those employees, agents, and advisors who have a need to know and who are bound by obligations of confidentiality at least as restrictive as those contained herein; (d) Take reasonable measures to protect the secrecy of and avoid unauthorized disclosure or use of the Confidential Information, using at least the same degree of care as it uses to protect its own confidential information, but in no event less than reasonable care.
5. Term and Termination
This Agreement shall remain in effect for a period of [Term Length] from the Effective Date, unless earlier terminated by either Party upon thirty (30) days' written notice to the other Party. The obligations of confidentiality set forth in this Agreement shall survive termination and continue for a period of two (2) years following the date of termination or expiration.
6. Return of Materials
Upon termination or expiration of this Agreement, or upon request by the disclosing Party, the receiving Party shall promptly return or destroy all copies of Confidential Information in its possession and certify in writing that it has done so.
7. Governing Law
